1. Relationship Between Prosper Global Education and Uplift

Uplift.lk is a platform owned and operated by Prosper Global Education (Pvt) Ltd ("Prosper"). All services, information, and activities provided through Uplift.lk are managed under the governance and responsibility of Prosper. References to "Uplift," "we," "us," or "our" in these Terms & Conditions mean Prosper Global Education (Pvt) Ltd.

2. Acceptance of Terms

By accessing and using this website, registering for events, submitting inquiries, or using our services, you agree to be bound by these Terms and Conditions. If you do not agree, please discontinue use of our services.

3. Eligibility and Age Requirement

You must be 16 years or older to use our services or register for events. If you are under 16, you must obtain parental or guardian consent to use our services.

4. Services Provided

Prosper Global Education offers guidance and support for students seeking higher education opportunities overseas. Our services include, but not limited to:

• Course and university matching
• Scholarship and financial aid assistance
• Application and documentation support
• Visa guidance and mock interviews
• Pre-departure sessions and international student preparation
• Online and in-person events

Service availability may depend on eligibility, university or government criteria, and partner policies.

5. Student Responsibility

Students are responsible for:

• Ensuring accuracy and completeness of the information submitted
• Meeting application deadlines and entry requirements
• Complying with immigration and visa policies of destination countries

We provide guidance, but final responsibility lies with the student.

6. Marketing and Communication Consent

By providing your contact details (email, phone, or otherwise), you consent to receive:

• Marketing messages, including special offers, webinars, newsletters, and program updates
• Transactional messages, including confirmations, reminders, document alerts, and account notifications
• These may be sent via email, SMS, WhatsApp, calls, or social media.
• Message frequency may vary. Standard message & data rates may apply.
• Reply STOP to opt out or HELP for assistance.

7. Event Registration & Participation

By registering for any Prosper Global Education event, you agree to:

• Receive event updates and login details via email/SMS
• Allow use of your registration data to connect you with relevant university partners
• Allow recordings or screenshots of the event (used for training, promotion, or quality assurance)

Events or sessions may be recorded for training, quality, or promotional purposes. By attending or submitting testimonials, you grant us a non-exclusive, worldwide, royalty-free license to use your name, likeness, and statements in connection with our services and marketing, unless you expressly opt out in writing prior to the event or submission.

8. Payments, Taxes, Chargebacks & Refunds

• Fees & Quotes: Premium services (e.g., SOP drafting, document reviews) are chargeable. Fees will be communicated in writing prior to commencement.
• Taxes: Prices are exclusive of applicable taxes unless stated otherwise; you are responsible for any taxes, duties, or levies.
• When Earned: Once a premium service has commenced, related fees are non-refundable unless stated otherwise in the service confirmation.
• Chargebacks: If you initiate a chargeback without first providing us a reasonable opportunity to resolve the matter, we may suspend services and pursue any amounts due, including reasonable recovery costs.
• Late Payment: Overdue amounts may accrue administrative or late payment fees where permitted by law.

9. User Conduct & Information Accuracy

You agree to provide accurate, current, and complete information when using our services. False or misleading information may result in service suspension or denial.

10. Intellectual Property

All content on this website—text, graphics, logos, videos, downloads, and software—is the intellectual property of Prosper Global Education or our partners. You may not copy, distribute, or reuse without written permission.

11. Third-Party Services, Commission Disclosure & Nature of Partnerships

Our services may include referrals or introductions to universities, institutes, and other service providers (e.g., insurers, accommodation, test centers). We maintain both direct partnerships and referral arrangements with certain universities and institutes. These partnerships allow us to promote programs and provide students with access to information and opportunities. However, admission, scholarship, and visa decisions remain solely at the discretion of the relevant universities, institutes, or government authorities.

We may receive commissions or referral fees from certain partners; such arrangements do not affect our commitment to provide students with fair and impartial guidance. While we facilitate access and maintain formal collaborations, we are not a legal agent or representative empowered to make binding commitments on behalf of universities, government authorities, or third-party providers.

12. Disclaimer of Guarantees

We do not guarantee university admission, scholarships, visa approval, or any specific outcomes. These are at the discretion of third parties, including universities, embassies, and governments.

13. Limitation of Liability

To the maximum extent permitted by law: (a) our services are provided "as is" and "as available"; (b) we disclaim all implied warranties; (c) we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or opportunity; (d) our total aggregate liability arising from or relating to the services will not exceed the greater of LKR 100,000 or the total fees paid by you to us for the specific premium service giving rise to the claim in the 3 months preceding the event. Nothing in these Terms limits liability that cannot be limited under applicable law.

14. Privacy & Data Storage

Your personal information is handled in accordance with our Privacy Policy. By using our services, you agree that:

• Data may be stored or processed in countries where we (including our technology solutions) and our partners operate.
• We take reasonable steps to protect your data.
• Our site may use cookies or similar technologies.

16. Modifications to Terms

• Visa processing delays or rejections
• Changes in immigration laws or government policies
• Technical disruptions (e.g., internet outages or platform issues)
• Actions or errors by third-party service providers

18. Not Legal or Immigration Advice

We provide general guidance only. We are not a law firm, immigration authority, or a registered migration agent in any jurisdiction. All visa, immigration, and admission decisions are made by the relevant third parties (universities, embassies, and government agencies). You should obtain independent legal or migration advice where required.

19. User Representations, Warranties & Indemnity

You represent and warrant that all information you provide is true, accurate, and complete, and that you have all rights and permissions to submit such information. You agree to indemnify and hold harmless Prosper and its officers, employees, and contractors from any claims, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your submission of false, misleading, or incomplete information; or (c) your violation of applicable laws or third-party rights.

20. Acceptable Use & Prohibited Activities

You agree not to: (a) submit forged or altered documents; (b) misrepresent your identity, qualifications, financial status, or intent; (c) solicit or pursue illegal pathways to enter or remain in a country; (d) interfere with or attempt to compromise our systems; or (e) use the platform for unlawful, harmful, or abusive purposes. We may suspend or terminate access where we reasonably suspect breach or risk to others.

21. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including but not limited to changes in laws or policies, governmental actions, strikes, pandemics, power or internet outages, or failures of third-party platforms.

22. Electronic Communications & E-Signatures

You consent to receive communications electronically and agree that electronic signatures, acknowledgments, and records satisfy any legal requirements for written form and signatures to the fullest extent permitted by law.

23. Governing Law, Venue & Dispute Resolution

These Terms are governed by the laws of Sri Lanka. The parties will first attempt to resolve disputes through good-faith discussions within 14 days of written notice. If unresolved, either party may refer the dispute to mediation in Colombo. Failing mediation, the dispute shall be submitted to the exclusive jurisdiction of the courts of Sri Lanka (Colombo). Nothing prevents a party from seeking urgent injunctive relief.

24. General Provisions

• Severability: If any provision is unenforceable, the remainder remains in effect.
• Assignment: You may not assign these Terms without our prior written consent; we may assign to an affiliate or in connection with a reorganization.
• Waiver: A failure to enforce a right is not a waiver of future rights.
• Entire Agreement: These Terms, together with the Privacy Policy and any service-specific confirmation, constitute the entire agreement regarding your use of the site and services.
• Notices: We may provide notices via the website, email, or your account contact details. You will send notices to the email listed in the Contact section, with "Legal Notice" in the subject line.
• Survival: Provisions that by their nature should survive termination (e.g., IP, payments due, disclaimers, limitations, indemnity) will survive.

We will always do our best to guide you through these situations and provide timely updates or alternate recommendations where possible. However, Prosper Global Education cannot accept liability for any direct or indirect loss arising from circumstances beyond our reasonable control.
